Bryan Ryan represents public and private commercial banks, holding companies, insurance companies and other financial institutions and their equityholders across a range of corporate, securities and regulatory matters. Mr. Ryan regularly advises clients and their boards of directors, senior management and equityholders on strategic corporate transactions and issues, including:
• Mergers, acquisitions and divestitures of public and private entities;
• Corporate restructuring transactions;
• Securities offerings, including initial public offerings and public and private offerings of common equity, preferred equity and debt;
• Corporate governance, including entity formation, director and officer liability and equityholder approvals; and
• Public company reporting and compliance matters, including with respect to periodic reporting, Section 16 reporting and proxy statements.
In addition, Mr. Ryan counsels financial institutions on regulatory compliance matters involving the Federal Deposit Insurance Corporation, the Federal Reserve Board, the Office of the Comptroller of the Currency and state regulatory agencies. A versatile corporate lawyer, Mr. Ryan forges long-term relationships with clients to advance their business objectives and drive transformative transactions to successful close. Prior to joining Fenimore Kay Harrison, Bryan spent eight years at a large international law firm.
